American delivery platform DoorDash has agreed to acquire grocery delivery specialist Instacart for approximately $17 billion, creating a potentially formidable competitor in the expanding market for online shopping and home delivery. Announced on 29 October, the cash-and-stock transaction would bring together two of the United States' largest delivery services as competition intensifies across groceries, restaurants and everyday retail.

Under the agreement, Instacart shareholders will receive consideration worth $65 per share, representing a 26% premium to the company's closing price on 22 October, before reports of negotiations emerged. At least 75% of the payment will be made in cash, with the remainder potentially settled in DoorDash shares. The acquisition has received unanimous approval from Instacart's board but remains subject to shareholder consent and regulatory clearance.

DoorDash intends to retain Instacart's brand, app and technology products following completion. The companies believe combining DoorDash's extensive delivery network with Instacart's grocery fulfilment expertise will help smaller retailers compete with major supermarket chains and technology platforms. Customers could gain access to additional stores, while the businesses plan to integrate membership benefits and expand services available to merchants.

The transaction is expected to close towards the end of 2027 or during the first half of 2028. Regulatory scrutiny could prove significant given the companies' positions in American delivery services. For the industry, the proposed combination reflects a growing shift away from narrowly focused delivery platforms towards integrated businesses competing across multiple retail categories.
